These Terms of Use (“Terms”) govern your access to and use of the Geri Labs website at https://gerilabs.app (the “Website”). The Website is operated by Geri Labs (“Geri Labs”, “we”, “us” or “our”).

By accessing or using the Website, you agree to these Terms. If you do not agree to them, please do not use the Website.

If you use the Website on behalf of a company or other organisation, you confirm that you have authority to accept these Terms on its behalf.

2. ABOUT GERI LABS

Geri Labs is a product development studio. We help founders and teams with product strategy, product management and end-to-end product development.

The Website provides general information about Geri Labs, our services, our work and ways to contact us. Unless we expressly state otherwise, the Website does not itself provide paid services, create a client relationship or form a contract for product-development services.

3. ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in the place where you live, to use the Website or contact us about our services.

The Website is intended for users in the United Kingdom and United States. We may make the Website available elsewhere, but we do not represent that its content is appropriate or available for use in every location.

4. NO PROFESSIONAL ADVICE OR RELIANCE

The content on the Website is provided for general information only. It is not legal, financial, tax, investment, medical, regulatory, technical-security or other professional advice.

5. ENQUIRIES AND CLIENT ENGAGEMENTS

Submitting an enquiry, sending us an email, booking a call or otherwise contacting Geri Labs does not create a client, agency, partnership, employment, fiduciary or other business relationship. We may decide whether to respond to an enquiry and whether to accept a project at our discretion.

Any work performed by Geri Labs for a client will be governed by a separate written agreement, statement of work, proposal, order form or other contract agreed between Geri Labs and that client. If there is a conflict between these Terms and a signed client agreement, the signed client agreement will apply to the relevant services.

6. OWNERSHIP AND INTELLECTUAL PROPERTY

Unless stated otherwise, Geri Labs or its licensors own all intellectual-property rights in the Website and its content, including its branding, trade marks, logos, text, graphics, visual design, layouts, software, code, photographs, videos and other materials.

You may view, download and print Website content for your personal, non-commercial use only. You must not use the Website in any way that: (a) is unlawful, fraudulent, harmful, misleading or abusive; (b) interferes with, damages, disrupts or impairs the Website, its servers, networks or security; (c) introduces viruses, malware, harmful code or other technologically harmful material; (d) attempts to gain unauthorised access to the Website, associated systems, accounts or data; (e) infringes another person’s intellectual-property, privacy or other legal rights; (f) impersonates another person or misrepresents your identity or affiliation; (g) sends unsolicited advertising, spam, chain messages or other unauthorised communications; or (h) uses Website content or systems to train, develop or improve an artificial-intelligence model or similar automated system without our prior written permission, where this is not otherwise permitted by applicable law.

The Website may contain links to third-party websites, tools, platforms or services. These are provided for convenience only. Geri Labs does not control, endorse or take responsibility for third-party content, availability, security, privacy practices, products or services. 11. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits Geri Labs’ liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.

Subject to the above, Geri Labs will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profits, revenue, business, opportunity, anticipated savings, goodwill, data or reputation arising out of or in connection with your use of, or inability to use, the Website.

To the fullest extent permitted by law, Geri Labs’ total liability arising out of or in connection with the Website or these Terms will not exceed £100 (one hundred pounds sterling). If you are a consumer, nothing in these Terms affects your statutory rights.

12. INDEMNITY

To the extent permitted by applicable law, you agree to indemnify and hold harmless Geri Labs and its personnel from claims, liabilities, damages, losses and expenses arising out of or connected with your breach of these Terms, your misuse of the Website, or your violation of another person’s rights or applicable law.

14. GOVERNING LAW

For customers in the United States: these Terms are governed by the laws of the United States, without regard to its conflict-of-laws principles. Any dispute shall be brought exclusively in a court of competent jurisdiction in the United States.

For customers in the United Kingdom: these Terms are governed by the laws of England and Wales. Any dispute shall be brought exclusively in the courts of England and Wales.
